Terms & Conditions

1. Application

These Terms and Conditions apply to all services provided by Cyber Rhapsody ("Cyber Rhapsody"). If there is any inconsistency between these Terms and Conditions and any terms provided by you, these Terms and Conditions will prevail.

2. Service Pricing and Payment Terms

  • Quotes and Estimates: Due to the dynamic and complex nature of cybersecurity services, any quotes provided by Cyber Rhapsody are estimates based on standard information. The final price for services will be confirmed after a thorough assessment of the client's specific needs and requirements.

  • Payment Due Date: Payment for services is due within 30 days of the invoice date, unless otherwise specified in the written agreement.

  • Late Payment: A late payment fee of 5% of the outstanding balance will be applied per month (or part thereof) on overdue invoices. Cyber Rhapsody reserves the right to suspend services until full payment is received.

  • Debt Collection: If payment remains outstanding after 60 days, Cyber Rhapsody may refer the debt to a reputable debt collection agency in Australia. All legal and collection agency fees will be payable by the client.

  • Withholding Tax: Any withholding tax required by your country's legislation is your responsibility. Cyber Rhapsody can, upon request, provide relevant documentation to assist with this process. The invoice amount remains due in full to Cyber Rhapsody.

 

3. Service Delivery and Disclaimer

Cyber Rhapsody undertakes to use its best efforts to deliver services competently and within agreed timeframes. We will contact you within 5 business days of receiving full payment to initiate service delivery and discuss the specific implementation timeline. However, we cannot guarantee specific outcomes or be held liable for delays caused by unforeseen circumstances beyond our reasonable control.

4. Limitation of Liability

Cyber Rhapsody's liability for any loss or damage arising from the provision of services is limited to the cost of those services. To the extent permitted by law, Cyber Rhapsody excludes liability for any indirect, consequential, or incidental loss or damage (including loss of profits, revenue, data, goodwill, or opportunity). Nothing in these Terms and Conditions excludes or limits Cyber Rhapsody's liability for death, personal injury, or any other liability that cannot be excluded by law.

5. Claims Notification

Any claim arising from the provision of services must be notified to Cyber Rhapsody by email to contact@cyberhapsody.com within 30 days of the service delivery or discovery of the issue.

6. Confidentiality

Cyber Rhapsody is committed to protecting your privacy and security. We will handle your data and information in accordance with our Privacy Policy, available on our website.

7. Intellectual Property

Cyber Rhapsody retains ownership of all intellectual property rights associated with its services and materials. You are granted a non-exclusive license to use the services as agreed.

8. Termination

This Agreement may be terminated by either party upon written email notice for any of the following reasons:

  • By Cyber Rhapsody:

    • Material breach of this Agreement by the customer.

    • Customer's insolvency or bankruptcy.

  • By the Customer:

    • Material breach of this Agreement by Cyber Rhapsody.

    • Cyber Rhapsody's inability to deliver the agreed-upon services within a reasonable timeframe after the service initiation contact (outlined in clause 3).

 

9. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of Australia. Any dispute arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of Australia.

10. Entire Agreement

These Terms and Conditions, together with any referenced policies, constitute the entire agreement between you and Cyber Rhapsody and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
